Calyon acted as sole financial advisor to La Compagnie du Vent and its main shareholder, Jean-Michel Germa, in the acquisition of 56.8% of its share capital by Suez, through its subsidiary Electrabel. That operation is the largest merger and acquisition transaction to date in the wind energy sector in France. It enables Calyon to enhance its franchise within the dynamic renewable energy sector. It is also a good example of the Group's cooperation, LCL having introduced Calyon to La Compagnie du Vent. The acquisition involved total cash of EUR 421 million, including EUR 321 million for the Suez' purchase of 50.1% of the share capital of La Compagnie du Vent and a reserved capital increase of EUR 100 million. As a result, Suez, through its subsidiary Electrabel, owns 56.8% of La Compagnie du Vent, the remaining shares being held by Jean-Michel Germa, its founder, Chairman and CEO. La Compagnie du Vent is a leading French wind energy developer and producer with an unmatched record of close to 20 years experience in wind farm construction, management and operation. The transaction values the company at EUR 742 million on an enterprise value basis.
